Prime Computer Inc., the target of a hostile tender offer from MAI Basic Four Inc. of Tustin, said it will not immediately seek protection under a Massachusetts anti-takeover law. MAI has filed a federal lawsuit seeking to have Massachusetts takeover laws declared unconstitutional. The suit was filed in connection with MAI’s $20-a-share, or $970-million, offer for the computer maker based in Natick, Mass. According to court documents, Prime agreed to provide MAI with at least 3 days’ notice before moving to enforce or invoke the Massachusetts law, the Dow Jones News Service reported Thursday. The agreement does not prevent Prime from invoking the law. Under the agreement, a hearing in federal court on MAI’s lawsuit was adjourned indefinitely.
