Spectradyne shareholders will vote Sept. 30 on an amended merger agreement under which it would become a wholly owned subsidiary of SPI Holding Inc. Dallas-based Spectradyne is the largest provider of in-room entertainment services for the lodging industry in the United States and Canada. The agreement decreases the amount of preferred stock to be received for each share of Spectradyne common stock from one share to 0.28 share. SPI Holding Inc. is a newly formed company owned by Hicks & Haas, a Dallas-based private investment firm, and Acadia Partners L.P., a Fort Worth-based investment partnership whose partners include entities affiliated with the Robert M. Bass Group.
