CSC Board to File Response to Hostile Bid
The Computer Sciences Corp.’s board will disclose its reaction to Computer Associates International’s tender offer Monday in a filing with the Securities and Exchange Commission, CSC spokesman Bruce Plowman said. The board of the El Segundo-based firm met Friday to consider its latest response to Islandia, N.Y.-based CA’s $108-per-share hostile bid. Earlier in the week, a federal judge in Nevada set March 16 as the date for CA to make its case that CSC’s anti-takeover provisions should be invalidated. U.S. District Judge Lloyd George also granted CSC, a computer services and consulting firm, permission to proceed with discovery in preparation for the hearing. Software developer CA is contesting changes in CSC’s bylaws that make it more difficult for its shareholders to vote on the CA bid. In New York Stock Exchange trading, CSC shares rose $2.19 to close at $104.69; CA shares rose $1.38 to $47.25.
