First Interstate Shareholders File Suit: The suit charges that the Los Angeles-based bank and its prospective buyer, First Bank Systems Inc., failed to make required disclosures in connection with their proposed merger. The lawsuit mainly argues that the banks, in Securities and Exchange Commission filings, omitted information and made statements that would mislead shareholders attempting to evaluate Wells Fargo & Co.’s competing hostile offer. The lawsuit was filed in federal court in Wilmington, Del. San Francisco-based Wells Fargo has made a stock offer for First Interstate Bancorp of about $10.7 billion. Minneapolis-based First Bank Systems has made a stock offer of about $9.9 billion.
