New York real-estate developer Donald Trump, who has rejected an offer by Bally Manufacturing to buy back his 9.9% stake in the company, in his suit filed in a New Jersey federal court accused Bally management of trying to unduly enrich and entrench themselves. Trump said the “entrenchment plan” included the adoption of a “poison-pill” plan that allows shareholders to buy stock in the acquired company at half price in the event of a hostile takeover. Trump has not launched a hostile takeover attempt but has not ruled that out as a possibility.
