The Dublin, Calif., food retailer said it settled the derivative and class-action suits against it and its directors to avoid the “continued diversion of management time” from everyday business and efforts to restructure the company. Chairman John M. Lillie noted that Lucky and its directors deny the allegations made in the actions, which charge that Lucky directors breached their duties in adopting a purchase rights order, approving the proposed restructuring of the company and rejecting acquisition proposals by investor Asher B. Edelman.
