Eastman Kodak has agreed to acquire Fox Photo.

Kodak said it will pay $30 per share for Fox, or a total of about $96 million. Fox, headquartered in San Antonio, operates 20 wholesale photo labs and 204 retail labs, and had net income of $3.2 million for the fiscal year ended April 16. Rochester, N.Y.-based Eastman Kodak said the offer will be conditioned on receipt of at least two-thirds of Fox’s shares.
